[Name of association]’s Resolution of the Board of Directors Regarding Appointment of Substitute Trustee[s]
The [name of declaration] (the “Declaration”) in [city], [county] County, Texas and the Texas Uniform Condominium Act grant to [name of association] (the “Association”) a power of sale to nonjudicially foreclose on the Association’s lien for unpaid assessments and related charges, including attorney’s fees and costs, established under and in accordance with the Declaration.
The board of directors of the Association is authorized to appoint one or more trustees to exercise the power of sale and to conduct such foreclosure sales.
The Association desires to appoint the substitute trustee[s] identified below to post all required notices and conduct all foreclosure sales relating to the [owner’s/owners’] default in the payment of assessments due to the Association.
Therefore, it is resolved that the board of directors has named and appointed [name[s] of substitute trustee[s]], individually, as substitute trustee[s] to act under and by virtue of the Declaration, and hereby authorizes said substitute trustee[s] to post all notices and conduct all foreclosure sales as may be necessary from time to time and as such substitute trustee[s] may be directed and instructed by [name[s] of authorized manager[s] or officer[s] of association].
This is to certify that the foregoing resolution was duly adopted by a majority of the board of directors at a duly called meeting of same with a quorum present held on [date], and this resolution has not been modified, rescinded, or revoked.
